BUY-BACK AGREEMENT FOR MORINGA DRIED LEAVES

(Hereinafter referred to as the “Farmer” or “Seller”).
1. Purpose
The Company agrees to purchase dried moringa leaves cultivated and supplied by the Farmer, and the Farmer agrees to sell the same under the terms of this agreement.
2. Cultivation & Farming Area
- The Farmer shall cultivate Moringa on [___ acres/hectares] of land.
 - The cultivation shall be done using good agricultural practices as advised by the Company.
 - The Farmer shall maintain crop records and allow Company representatives to inspect the farm.
 
3. Quality Standards
The dried moringa leaves supplied must:
- Be shade-dried under hygienic conditions.
 - Have moisture content below 10%.
 - Be free from dust, pests, fungus, and foreign materials.
 - Be packed in food-grade bags (25kg / 50kg) as per Company instructions.
 
The Company reserves the right to inspect and reject substandard lots.
4. Price & Payment
1. The Company agrees to purchase dried moringa leaves from the Farmer at the rate of Rs. [___] per kilogram (subject to mutual revision every season based on market conditions).
2. After delivery and quality verification, the Company shall release payment to the Farmer within [7–15 working days] through [Bank Transfer / Cheque / UPI / Other method].
3. If the Company delays payment beyond 15 working days, an interest of [___% per month] will be payable to the Farmer on the pending amount.
4. The Company shall provide the Farmer with a purchase receipt / payment advice for every transaction.
5. Delivery Terms
- The Farmer shall deliver the dried moringa leaves to the farmer nearest transport company.
 - Delivery schedule shall be [weekly/monthly/seasonal] as per mutual agreement.
 - Transportation costs shall be borne by Company.
 
6. Buy-Back Commitment
- The Company commits to purchase a minimum of [___ kg/tons] per harvest from the Farmer, provided the quality standards are met.
 - Any additional surplus may be purchased depending on Company’s requirement.
 
7. Duration

8. Termination
This Agreement may be terminated by either party with 30 days’ written notice in case of:
- Repeated supply of substandard quality.
 - Failure to make payments as per agreed terms.

9. Dispute Resolution
Any dispute arising under this Agreement shall be resolved amicably. If unresolved, it shall be referred to arbitration as per the Arbitration & Conciliation Act, 1996 (India).
10. Terms & Conditions
1. The Farmer agrees to purchase and use only branded seeds supplied by Indian Moringa Seeds Company for cultivation under this buy-back agreement.
2. The Company shall supply seeds at a mutually agreed price and provide guidance on sowing and cultivation practices.
3. If the Farmer uses seeds from any other source, the Company reserves the right to reject the buy-back commitment for the harvest.
4. The Company may conduct farm inspections at any stage to verify compliance.
